Please read these Terms of Service carefully before using our platform. By accessing or using the service, you agree to be bound by these terms.

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you (either an individual or an entity, "User," "you," or "your") and our emergency response management platform ("Company," "we," "us," or "our") governing your access to and use of our software platform, including our website, mobile applications, and related services (collectively, the "Service").

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Service.

2. Description of Services

Our platform provides emergency response management software designed for fire departments, EMS agencies, and other emergency services organizations. The Service includes, but is not limited to:

  • Incident management and reporting
  • Pre-incident planning and mapping
  • Personnel and resource management
  • Training and certification tracking
  • Scheduling and shift management
  • Equipment and hydrant management
  • Real-time communication and notifications
  • NERIS (National Emergency Response Information System) integration
  • Report generation and analytics

3. User Accounts and Registration

3.1 Account Creation

To access certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account or any other breach of security.

3.3 Department Accounts

When creating a department account, you represent and warrant that you have the authority to bind your department or organization to these Terms. Department administrators are responsible for managing user access, permissions, and ensuring compliance with these Terms by all users within their organization.

4. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Service in any way that violates any applicable federal, state, local, or international law
  • Transmit any material that is unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
  • Impersonate or attempt to impersonate the Company, another user, or any other person or entity
  • Interfere with or disrupt the Service or servers or networks connected to the Service
  • Attempt to gain unauthorized access to any portion of the Service or any other systems or networks
  • Use any automated system to access the Service in a manner that sends more requests than a human can reasonably produce
  • Introduce any viruses, trojan horses, worms, logic bombs, or other malicious or technologically harmful material
  • Share, sell, or transfer your account access to third parties
  • Use the Service to create false or misleading incident reports

5. Data Protection and Privacy

5.1 Data Collection and Use

We collect and process personal data as described in our Privacy Policy. By using the Service, you consent to such collection and processing. We implement appropriate technical and organizational measures to protect your data against unauthorized access, alteration, disclosure, or destruction.

5.2 Your Data Rights

You retain all ownership rights to the data you submit to the Service ("User Data"). You grant us a limited license to use, store, and process your User Data solely to provide and improve the Service.

5.3 Data Security

We employ industry-standard security measures including encryption, secure data centers, access controls, and regular security audits. However, no method of transmission over the Internet or electronic storage is 100% secure, and we cannot guarantee absolute security.

5.4 Data Backup and Retention

We perform regular backups of your data to prevent data loss. We retain your data for as long as your account is active or as needed to provide you services. Upon account termination, we will retain data as required by law or for legitimate business purposes.

5.5 HIPAA Compliance

For departments using the ePCR (FIRE) features, we provide HIPAA-compliant data handling. Note: ePCR (FIRE) is for internal fire department documentation only and does not integrate with NEMSIS or any EMS reporting system. Protected Health Information (PHI) is encrypted at rest and in transit. Business Associate Agreements (BAA) are available upon request for covered entities.

5.6 Data Portability

You have the right to export your data from our Service at any time. We provide data export functionality in standard formats to ensure you can transition to other systems if needed.

6. SMS / Text Message Communications

By providing your phone number and opting in, you consent to receive text messages about emergency alerts, incident notifications, scheduling updates, and operational communications from EmergencyOps at the phone number you provided. 6.1 Consent and Opt-In

SMS/text message opt-in and consent are never shared with third parties or affiliates for marketing purposes. Providing your phone number on a web form does not automatically enroll you in SMS communications — explicit opt-in consent is required for each SMS program. You may opt in during account registration, through your notification preferences, or via another explicit consent mechanism.

6.2 Message Types and Program Description

EmergencyOps sends the following non-marketing operational SMS messages to enrolled users:

  • Emergency incident alerts and dispatch notifications
  • Scheduling reminders and shift change notifications
  • Account security alerts (password resets, login verification)
  • System status and maintenance notifications
  • Wildland assignment and mobilization reminders
  • Training session reminders and certification expiration notices

All messages are transactional or operational in nature. EmergencyOps does not send marketing or promotional SMS messages.

6.3 How to Opt Out

You may opt out of SMS messages at any time by replying STOP to any message you receive. You will receive a one-time confirmation message and will not receive further messages unless you opt back in. You may also manage your SMS preferences in your account notification settings.

6.4 How to Get Help

Reply HELP to any SMS message for assistance, or contact us at support@emergencyops.com. Supported carriers are not liable for delayed or undelivered messages.

6.5 Message Frequency

Message frequency varies based on your role, department settings, and the volume of incidents and events in your area. Emergency notifications may be sent at any time, including outside normal business hours, given the nature of emergency response operations.

6.6 Rates and Carrier Information

Standard message and data rates may apply depending on your mobile carrier and plan. EmergencyOps does not charge for SMS messages; however, your carrier may charge standard SMS/MMS rates. Supported carriers include AT&T, Verizon, T-Mobile, Sprint, and most major US carriers. Supported carriers are not liable for delayed or undelivered messages.

6.7 Privacy and Disclosure

Your phone number and SMS consent status are stored securely and not shared with third parties for marketing purposes. This SMS disclosure is provided clearly and is not obscured by any other messaging. For full details on how we handle your information, see our Privacy Policy.

7. Intellectual Property Rights

7.1 Our Rights

The Service and its original content, features, and functionality are owned by the Company and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. Our trademarks and trade dress may not be used without our prior written consent.

7.2 Your Rights

You retain all rights to the content you create and upload to the Service. By uploading content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and display such content solely for the purpose of providing the Service to you.

7.3 Feedback

Any feedback, comments, or suggestions you provide regarding the Service may be used by us without any obligation to you.

8. Payment Terms

7.1 Subscription Plans

Access to certain features of the Service requires a paid subscription. Subscription plans and pricing are displayed on our website and may be modified at any time. You agree to pay all fees associated with your chosen subscription plan.

7.2 Payment Processing

Payments are processed through third-party payment processors (Stripe). You agree to provide accurate and complete billing information. All payments are non-refundable except as required by law or as explicitly stated in these Terms.

7.3 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You authorize us to charge your payment method for each renewal period.

7.4 Free Trials

We may offer free trial periods for certain subscription plans. At the end of the trial period, you will be automatically charged unless you cancel before the trial ends. Credit card information may be required to start a trial.

7.5 Price Changes

We reserve the right to modify subscription pricing at any time. Price changes will not affect your current subscription period but will apply upon renewal. We will provide at least 30 days notice of any price increases.

7.6 Taxes

All fees are exclusive of applicable taxes, which will be added to your invoice as required by law. You are responsible for paying all applicable taxes.

8. Service Availability and Modifications

8.1 Service Uptime

We strive to provide 99.9% uptime for the Service, excluding scheduled maintenance. However, we do not guarantee uninterrupted access to the Service. Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

8.2 Service Modifications

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We will make reasonable efforts to notify you of significant changes that may affect your use of the Service.

8.3 Third-Party Services

The Service may integrate with third-party services (e.g., mapping providers, NERIS, weather services). We are not responsible for the availability, accuracy, or functionality of these third-party services.

9. Limitation of Liability

9.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

9.2 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE COMPANY, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE.

9.3 Cap on Liability

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

9.4 Emergency Response Tool

THE SERVICE IS A MANAGEMENT AND DOCUMENTATION TOOL. IT IS NOT A SUBSTITUTE FOR PROPER TRAINING, JUDGMENT, OR STANDARD OPERATING PROCEDURES. YOU ACKNOWLEDGE THAT EMERGENCY RESPONSE DECISIONS SHOULD BE MADE BY QUALIFIED PERSONNEL BASED ON THEIR TRAINING AND ASSESSMENT OF THE SITUATION.

10. Indemnification

You agree to indemnify, defend, and hold harmless the Company, its officers, directors, employees, agents, licensors, and suppliers from and against all losses, expenses, damages, and costs, including reasonable attorneys' fees, resulting from:

  • Your violation of these Terms
  • Your violation of any third-party rights, including intellectual property rights or privacy rights
  • Your use or misuse of the Service
  • Any content you submit to the Service
  • Your violation of any applicable laws or regulations

11. Termination

11.1 Termination by You

You may terminate your account at any time by canceling your subscription and ceasing to use the Service. Upon termination, your right to use the Service will immediately cease.

11.2 Termination by Us

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, if you breach these Terms or engage in conduct that we determine, in our sole discretion, is inappropriate or harmful to the Service or other users.

11.3 Effect of Termination

Upon termination, your right to use the Service will cease immediately. We will provide you with reasonable access to export your data for a period of 30 days after termination. Sections of these Terms that by their nature should survive termination will survive, including but not limited to indemnification, limitation of liability, and dispute resolution provisions.

12. Dispute Resolution

12.1 Informal Resolution

If you have any dispute with us, you agree to first contact us and attempt to resolve the dispute informally before initiating any formal proceedings.

12.2 Arbitration

Any dispute arising out of or relating to these Terms or the Service that cannot be resolved informally shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except where prohibited by law.

12.3 Class Action Waiver

You agree that any arbitration or legal proceeding shall be limited to the dispute between you and the Company individually. To the fullest extent permitted by law, you waive any right to bring claims as a representative or member of a class action.

13. Emergency Services Disclaimer

CRITICAL NOTICE:

This platform is designed as a management and documentation tool for emergency service organizations. IT IS NOT DESIGNED TO REPLACE OR SERVE AS YOUR PRIMARY DISPATCH SYSTEM, 911 SYSTEM, OR EMERGENCY COMMUNICATION SYSTEM.

  • DO NOT rely solely on this Service for time-critical emergency operations
  • Always maintain backup communication systems and standard operating procedures
  • Information in the Service may not be real-time or 100% accurate
  • The Service should supplement, not replace, established emergency response protocols
  • System outages or technical issues may occur at any time
  • Always defer to your training, experience, and department SOPs when responding to emergencies

By using this Service, you acknowledge that emergency response involves inherent risks and that proper training, equipment, and procedures are essential for safety and effectiveness.

14. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the United States and the state where our principal place of business is located, without regard to its conflict of law provisions.

You agree that any legal action or proceeding between you and the Company shall be brought exclusively in the federal or state courts located in the jurisdiction of our principal place of business, and you hereby consent to the personal jurisdiction of such courts.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last Updated" date. We may also notify you via email or through the Service.

Your continued use of the Service after any changes constitutes your acceptance of the new Terms. If you do not agree to the modified Terms, you must stop using the Service and terminate your account.

16. Miscellaneous

16.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and the Company regarding the Service and supersede all prior agreements and understandings.

16.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

16.3 Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

16.4 Assignment

You may not assign or transfer these Terms or your rights and obligations under these Terms without our prior written consent. We may assign these Terms at any time without notice to you.

16.5 Force Majeure

We shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, natural disasters, or interruption of Internet service.
